Legal Basis for Termination

Franchise Agreement Section 15.2.1.18

The Franchisor has the right to terminate the Franchise Agreement without opportunity to cure if the Franchisee breaches the Agreement and/or fails to comply with mandatory specifications, customer service standards, or operating procedures prescribed in the Operations Manual on two or more separate occasions within any period of twelve consecutive months, whether or not previous breaches or failures are cured.

Multiple violations were documented: December 2022, April 2025, May 2025, July 2025, and ongoing through January 2026. All conditions for termination without cure period have been satisfied.
